The short version
You own your data and your software. You keep your secret keys secret and use Atlas lawfully. We run the Service carefully and tell you before changes that affect you. Your End Users' license checks keep working even if your organization is suspended. This summary isn't a substitute for the full Terms below.
1.The agreement
These Terms of Service (“Terms”) are a contract between Atlas Infra (“we”, “us”) and the person or organization using Atlas (“you”). They cover the dashboard, the APIs, the SDKs, the documentation, and any related services (together, the “Service”).
By creating an account, or by using the Service, you agree to these Terms and to our Privacy Policy. If you accept on behalf of a company, you confirm you have authority to bind it, and “you” means that company. If you have signed a separate written agreement with us, that agreement takes priority where it conflicts with these Terms.
2.Definitions
- Organization: a workspace in the Service. It holds your products, licenses, settings, and team members.
- Customer Data: data you or your applications put into the Service, such as products, policies, licenses, entitlements, customer records, and device activations.
- End Users: your own customers, who receive license keys from you and use your software.
- Credentials: passwords, session cookies, secret API keys, publishable keys, webhook signing secrets, and integration secrets.
- Plan: the subscription tier for an Organization, including its limits, features, and fees.
3.Accounts and organizations
You must be at least 18 and able to form a binding contract to use the Service. Give us accurate account information and keep it up to date.
You are responsible for everything that happens under your account and your Organizations, including the actions of team members you invite and of anyone using your Credentials. Owners and admins decide who has access and with which role. We strongly recommend turning on two-factor authentication, and owners can require it for everyone in the Organization.
Tell us promptly at support@atlasinfra.cloud if you suspect unauthorized access.
4.Acceptable use
You agree not to, and not to let anyone else:
- use the Service to break any law, or to infringe anyone's rights;
- license, sell, or distribute software that is malware, or that is designed to harm, spy on, or defraud its users;
- probe, scan, or test the Service's security without our written permission (responsible disclosure to legal@atlasinfra.cloud is welcome);
- interfere with the Service, overload it on purpose, or get around rate limits, plan limits, or access controls;
- access the Service to build a competing product, or copy its features, design, or documentation for that purpose;
- resell or sublicense the Service itself unless we agree in writing;
- create accounts in bulk, share one account between unrelated businesses, or give us false information.
We may investigate suspected breaches and, where necessary, take the steps described in Suspension and termination.
5.Your software and your End Users
You are solely responsible for your own software, for your relationship with your End Users, and for the terms you sell under (for example your end-user license agreement and refund policy). We are not a party to those agreements.
You must have a lawful basis to share End User data with us and must tell your End Users how their data is handled, including that you use a licensing provider. Where we process End User data for you, we do so as your processor, as described in our Privacy Policy.
Licensing is a commercial control, not a guarantee. Software that runs on an End User's device can be modified to skip license checks. The Service makes casual sharing and misuse harder and gives you signed, verifiable results, but we do not promise that your software cannot be cracked, copied, or used without a license, and we are not liable for revenue lost that way.
6.Credentials and security
You are responsible for keeping your Credentials safe. In particular:
- keep secret API keys on your servers only, never in client software;
- give each secret key only the scopes it needs, and revoke keys you no longer use;
- verify webhook signatures before acting on a webhook;
- deliver license keys to End Users over a secure channel;
- rotate any Credential you believe has been exposed.
License keys and secret keys are shown once and cannot be recovered by us. We protect the Service with reasonable technical and organizational measures, but we are not responsible for losses caused by Credentials you leak or share.
7.Plans, fees, and payment
Each Organization is on a Plan. Plans set limits (such as products, active licenses, API keys, webhook endpoints, integrations, and team members) and which features are included. Current Plans are shown on our pricing page and in your Organization settings.
- Paid Plans are billed in advance for each billing period and renew automatically until cancelled. Fees are exclusive of taxes, which you are responsible for.
- Fees are non-refundable except where required by law or where we say otherwise in writing.
- We may change Plan fees or limits. We will give you at least 30 days' notice before a change that increases what you pay or reduces your limits, and it applies from your next billing period.
- When you reach a Plan limit, creating more of that item is refused until you free up capacity or upgrade. Existing licenses are not affected.
- If a payment fails and is not resolved after reasonable notice, we may move the Organization to a lower Plan or suspend it.
Free Plans and trials are provided as they are, may have lower limits, and may be changed or discontinued with reasonable notice.
8.Your data
You own your Customer Data. You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, and display Customer Data only as needed to provide, secure, and support the Service, and as you instruct (for example by connecting a storefront or webhook).
You are responsible for the accuracy and lawfulness of Customer Data. We do not sell Customer Data and do not use it to train machine-learning models.
We may use aggregated, de-identified information about how the Service is used (for example request volumes) to operate and improve it, as long as it does not identify you or any individual.
9.Third-party services
The Service can connect to services we do not control, such as Google and GitHub for sign-in, and storefronts such as SellAuth and Komerza for license delivery. Your use of those services is governed by their own terms and privacy policies. When you connect one, you authorize us to exchange the data needed to make the connection work.
We are not responsible for third-party services, including their availability or how they handle data.
10.Availability and changes
We work hard to keep the Service fast and available, but we do not guarantee it will be uninterrupted or error-free, and we do not offer a service level agreement unless one is agreed in writing. Planned maintenance will be announced in advance where practical.
We continually improve the Service and may add, change, or remove features. We will give reasonable notice before removing a feature you actively use or making a breaking change to a stable API version. Features marked as beta or preview may change or end at any time.
11.Suspension and termination
By you
You can stop using the Service at any time. To close an Organization or delete your account, email support@atlasinfra.cloud from an owner's address. Paid Plans remain active until the end of the period you have paid for.
By us
We may suspend or terminate your access if:
- you materially breach these Terms and do not fix it within 14 days of notice;
- fees remain unpaid after reasonable notice;
- we reasonably need to act immediately to prevent harm to the Service, other customers, End Users, or the public, or to comply with the law.
Where we can, we will tell you why and give you a chance to resolve the issue first. A suspended Organization's dashboard and management API are blocked, but runtime license validation for your End Users keeps working while the issue is resolved, unless continuing it would itself cause harm or break the law.
After termination
For 30 days after termination you can ask us to export your Customer Data. After that we delete it, as described in our Privacy Policy. Sections that by their nature should survive (including fees owed, your data, intellectual property, disclaimers, limitation of liability, and indemnity) survive termination.
12.Intellectual property and feedback
We and our licensors own the Service, including the software, design, documentation, and the Atlas name and logo. Subject to these Terms, we give you a limited, non-exclusive, non-transferable right to use the Service for your internal business during your subscription. Our SDKs may be provided under their own open-source licence, which applies to that code.
If you send us feedback or suggestions, we may use them freely without any obligation to you.
13.Confidentiality
Each of us will keep the other's non-public information confidential, use it only to perform under these Terms, and protect it with at least reasonable care. This does not cover information that is or becomes public through no fault of the recipient, was already known to it, was independently developed, or must be disclosed by law (with notice to the other party where allowed).
14.Disclaimers
Except as expressly stated in these Terms, the Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all implied warranties and conditions, including of satisfactory quality, merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes rights you have as a consumer that cannot be excluded by law.
15.Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
Subject to that:
- neither of us is liable for indirect or consequential loss, or for loss of profits, revenue, business, goodwill, or data, however caused;
- each party's total liability arising out of or in connection with these Terms in any 12-month period is limited to the greater of the fees you paid us in that period and £100.
These limits do not apply to your obligation to pay fees, or to either party's indemnity obligations.
16.Indemnity
You will defend and indemnify us against claims by third parties (including your End Users) arising from your software, your Customer Data, your relationship with your End Users, or your breach of the Acceptable use section, and pay resulting damages and reasonable costs. We will promptly tell you about any such claim and let you control its defence.
17.Changes to these Terms
We may update these Terms from time to time. If a change is material, we will tell you by email or in the dashboard at least 30 days before it takes effect, unless the change is required by law or addresses a security risk. The “Last updated” date above shows when they last changed. If you keep using the Service after a change takes effect, the updated Terms apply. If you do not agree, you can stop using the Service before then.
18.Governing law and disputes
These Terms and any dispute arising from them are governed by the laws of England and Wales. Before starting proceedings, we both agree to try to resolve a dispute informally by contacting the other in writing. If it is not resolved within 30 days, the courts of England and Wales have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any court. If you are a consumer, you may also have the right to bring proceedings where you live.
19.General
- You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or sale of assets, with notice to you.
- Neither of us is liable for delays caused by events beyond reasonable control, such as outages of upstream providers, natural disasters, or acts of government.
- If a provision is found unenforceable, the rest of these Terms remains in effect. Not enforcing a right is not a waiver of it.
- These Terms, together with the Privacy Policy and any written agreement between us, are the entire agreement about the Service. No third party has rights under these Terms.
- We may send notices to the email address on your account. You can send notices to legal@atlasinfra.cloud.
